Corporate Paralegal

$80,000.00 - $125,000.00 per Year


Responsibilities:



  • Conduct comprehensive legal research on relevant corporate statutes, regulations, and case law.


  • Draft and finalize sophisticated legal documents, including stock purchase agreements, merger agreements, financing documents, and corporate resolutions.


  • Assist attorneys with corporate transactions, such as mergers, acquisitions, divestitures, and securities offerings.


  • Advise on and ensure compliance with corporate governance best practices and legal requirements.


  • Assist with entity formation and management, including filings with the Texas Secretary of State and other regulatory bodies.


  • Manage and maintain corporate records electronically and in hard copy, ensuring exceptional organization and attention to detail.


  • Facilitate communication with clients, board members, and other professionals involved in transactions.


  • Perform other legal and administrative tasks as assigned.


  • Maintain a high level of accuracy and efficiency in all work performed.


Qualifications:



  • Associate's degree in Paralegal Studies or a related field, and a minimum of 5 years of experience as a corporate paralegal.


  • Proven track record of success in legal research, writing, and transaction support.


  • In-depth understanding of corporate law principles, including mergers and acquisitions, securities regulation, and corporate governance.


  • Experience drafting complex legal documents for corporate transactions.


  • Proficient in Microsoft Office Suite (Word, Excel, PowerPoint).


  • Experience with legal research databases a plus.


  • Excellent organizational skills, with a meticulous eye for detail.


  • Ability to manage multiple tasks effectively and meet deadlines in a fast-paced environment.


  • Strong communication, interpersonal, and client service skills.


  • Ability to work independently and take initiative, while also collaborating effectively with attorneys and other team members.
